OPNET Technologies, Inc. Acquires the Assets of Network Physics, Inc.

October 26, 2007 (PRLEAP.COM) Technology News
Slough, UK – October 24th , 2007 – OPNET Technologies, Inc. (NASDAQ: OPNT), a leading provider of solutions for managing networks and applications, announced that it has completed the acquisition of substantially all of the assets of Network Physics, Inc. a privately held software company headquartered in Mountain View, California. The acquisition contributes key components to OPNET's product portfolio for application performance management.

In September, 2007, OPNET announced that it was developing ACE Live, a solution for end-user experience monitoring. With the NetSensory product line of Network Physics, OPNET is in a position to immediately deliver this capability to its customers. NetSensory enables enterprises to monitor end-to-end application performance in real-time, detect anomalies, and increase IT productivity. It has been proven in very large and complex environments, and its rapid installation and configuration also makes it ideal for mid-size enterprises.

Alain Cohen, OPNET President & CTO, stated, “Managing end-to-end performance for business-critical applications is increasingly important and challenging for IT organizations. Proactively detecting response time problems leads to faster diagnosis and resolution, thereby minimizing business impact. The combination of Network Physics’ real-time monitoring and OPNET's in-depth root-cause analytics places OPNET in a unique position in the industry. Through the integration of these best-in-class solutions, OPNET is poised to offer an end-to-end solution that spans monitoring, measurement, and detection of violations, and then bridges seamlessly into uncovering the root-cause of application performance problems.”

Marc Cohen, OPNET Chairman and CEO, added “We are also excited about combining our customer bases by providing them with the opportunity to benefit from the respective technologies of OPNET and Network Physics. Network Physics enjoyed great success in the industry and its solutions are being used today in hundreds of enterprises around the world. Similarly, OPNET’s solutions are deployed by the thousands and lead the industry in application performance analytics.”

“OPNET’s acquisition of Network Physics is a master stroke,” said Dennis Drogseth, Vice President, Enterprise Management Associates. “It provides OPNET with one of the technically most powerful engines for monitoring application traffic across the network with a high level of application awareness, and interrelated insights into traffic volumes, routed paths, and application performance and response. Network Physics also complements ACE and Panorama as well as other OPNET capabilities surprisingly well. The benefits to OPNET customers should be quick and sure in the near term, with the longer term potential to combine the analytic and data resources of both systems more completely.”

Under the terms of the asset purchase agreement, OPNET paid $10 million in cash to close the transaction.
