CHICAGO, Oct. 11, 2005 — Commonwealth Capital Advisors’ patent-pending Financial Architect® System software suite can significantly cut the cost of private placement or limited public securities offerings, bringing these capital-raising tools within reach of women entrepreneurs/business owners who normally do not have access to venture capital and other traditional forms of financing.

“Since we’ve all heard of the glass ceiling, the Financial Architect® System was designed to help women shatter the glass piggy bank,” said Timothy Hogan, CEO of Commonwealth. “Studies have shown that women entrepreneurs have more difficulty raising capital from traditional sources than men do. A private placement or limited public offering puts women in control of the capital-raising process, and our innovative new software makes it much easier for women entrepreneurs/business owners to conduct these offerings.”

According to statistics from Venture One, in recent years only about 6% of venture-backed companies were founded by women. In addition, a recent report from the Center for Women’s Business Research found that in 2003 only 4% of women-owned businesses with revenues of $1 million or more obtained or intended to seek equity investments.
By standardizing document production and complex legal, accounting and investment banking issues, the Financial Architect® Systems enables women entrepreneurs/business owners, with the assistance of their current professional service providers, to conduct private placement or limited public securities offerings on their own.

“Women entrepreneurs/business owners no longer have to rely on the ‘old boys network’ for capital. With the Financial Architect® System, they avoid the need to be ‘qualified’ by traditional sources of capital. In addition, this process becomes far more accessible because these entrepreneurs can complete the documents, for legal counsel review, at a fraction of the traditional costs,” Hogan said.

The Financial Architect® System includes an E-book that contains the “Fundamentals” of raising capital using the “Wall Street Process” that rarely changes; a sophisticated software program that enables the production of GAAP-compliant pro-forma financial projections to create marketable deal structures; templates to produce the actual securities offering document; and a private password-protected area on the website (“Commonwealth Capital Club”) that links entrepreneurs with the critical compliance components and angel investors around the world.

The Financial Architect® System is for start-up or early-stage companies who need to raise between one hundred thousand dollars and $10 million in working capital (seed, development and expansion) through the issuance of a Regulation D (“Private”) or Regulation A (“Limited Public”) securities offering. The system can also help raise $5 to $20 million to launch a new product or service for seasoned companies who cannot tap into traditional commercial bank financing.

“By assisting women and minority entrepreneurs we believe that the Financial Architect® System can strengthen the U.S. and world economies. Essentially the CCA transaction tools enable new promising ventures to raise capital with an inexpensive turn-key system,” said Charles Dreher, CEO of CCA International.
